7. Termination

Southern Oaks, REALTORS® may terminate or suspend access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms or the Site shall be filed only in the state or federal courts located in the State of Louisiana, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

You agree to defend, indemnify and hold harmless Southern Oaks, REALTORS®, its affiliates, officers, directors, employees, and agents, from and against any claims, actions, demands, damages, costs, liabilities, and expenses, including without limitation reasonable attorneys' fees, arising out of or in connection with your use of the Site or your breach of these Terms.

10. Changes to Terms

Southern Oaks, REALTORS® reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, Southern Oaks, REALTORS® will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Southern Oaks, REALTORS®’s sole discretion.

11. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms to which you agree when using particular elements of the Site, constitute the entire agreement between you and Southern Oaks, REALTORS® with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral, written, or electronic, between you and Southern Oaks, REALTORS® with respect to the Site.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of these Terms shall remain in full force and effect.

13. Waiver

The failure of Southern Oaks, REALTORS® to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
